Buyer Agreement

1. Scope of This Agreement
This Buyer Agreement ("Buyer Agreement") applies to any person or entity that places offers, makes purchases, or uses AssetShift's marketplace as a buyer ("Buyer"). It is a supplement to, and must be read together with, AssetShift's main Terms of Service. In the event of a conflict, the Terms of Service prevail.
By creating a buyer account, placing an offer, or completing a purchase, you agree to the terms of this Buyer Agreement.
2. Buyer Eligibility and Account
Account Type. Buyers must register as either an Individual Buyer or Business Buyer. Business Buyers may be required to provide business registration documentation to access certain features.
Verification. Buyers must complete AssetShift's identity verification process before using payment features. Verification is subject to AssetShift's approval at its sole discretion.
Commercial Purpose. AssetShift is a business-to-business (B2B) and business-to-individual platform for commercial surplus and secondary-market inventory. By purchasing on the Platform, buyers represent that they are purchasing for commercial, resale, or business purposes and not primarily for personal, family, or household use. Consumer protection legislation that applies solely to personal consumer purchases may not apply to Platform transactions.
3. Browsing and Due Diligence
As-Is Purchases. Inventory on AssetShift is generally sold on an as-is, where-is basis. Buyers are responsible for conducting their own due diligence regarding the condition, specifications, regulatory compliance, and fitness for purpose of any Inventory before placing an offer.
Listing Information. AssetShift provides tools for buyers to review listing details, photographs, and condition descriptions. AssetShift does not independently verify all listing information. Buyers should ask clarifying questions through the Platform's messaging system before placing an offer if listing information is unclear.
Location and Logistics. Buyers should review the Inventory location and consider freight or pickup logistics and costs before placing an offer. Freight quotes obtained through the Platform are estimates. AssetShift does not guarantee freight pricing.
Map Accuracy. The location shown on the map is a fuzzed (approximate) location for privacy. The exact Inventory location is disclosed after payment is confirmed.
4. Offers and Negotiations
On-Platform Only. All negotiation with sellers must occur through AssetShift's messaging and offer system. Buyers must not share personal contact information in chat, request to take negotiations off-platform, or request or accept payment methods outside the Platform.
Binding Offers. An offer, once submitted, is binding on the buyer for the duration specified. Acceptance of an offer by the seller creates a binding purchase agreement. Buyers must proceed to payment via the Platform's escrow system following offer acceptance.
AI Moderation. The Platform uses AI to detect and redact prohibited content. Buyers remain responsible for compliance with Platform rules regardless of AI moderation outcomes.
Counter-Offers. Buyers may counter-offer in response to a seller's listed price or a seller's counter. The most recently accepted offer constitutes the agreed price.
5. Payment and Escrow
Payment Through AssetShift. All purchases must be paid through AssetShift's Stripe-powered escrow system. Buyers agree to pay the agreed total amount (including platform fee and any freight costs) through the Platform's secure checkout.
Payment Method. Buyers pay by credit card through Stripe. Card data is handled directly by Stripe and is not stored by AssetShift. By proceeding to checkout, buyers consent to Stripe's Terms of Service and Privacy Policy.
No Refund on Escrow Failure. If Stripe declines a payment, the transaction is not created and no charge is made. Buyers must resolve payment issues before the transaction can proceed.
Funds in Escrow. Buyer funds are held by AssetShift via Stripe until: (a) the buyer confirms delivery; (b) the dispute window expires; or (c) a dispute is resolved. Buyers must not attempt to reverse, cancel, or chargeback an in-escrow payment without first using AssetShift's dispute process.
Stripe Customer. AssetShift may create a Stripe customer record associated with the buyer's email for payment processing purposes. This is used to manage future purchases and refunds.
6. Delivery and Logistics
Delivery Modes. Two delivery modes are available: (a) customer-arranged pickup — the buyer organizes and pays for transport from the seller's location; and (b) AssetShift-coordinated transport — AssetShift arranges freight via logistics partners (freight costs are disclosed before commitment). Delivery mode must be selected before checkout.
Logistics After Payment Only. Freight, pickup, and logistics coordination begins only after payment is confirmed. No asset will be moved before escrow funds are confirmed. This is a non-waivable rule.
Exact Location Disclosure. The seller's exact Inventory location and contact details are disclosed to the buyer only after payment is confirmed in escrow. Buyers must not attempt to obtain seller contact details before payment.
Buyer Arrangements. Where the buyer is arranging pickup, the buyer is responsible for: (a) arranging suitable transportation with sufficient capacity; (b) providing appropriate equipment (forklifts, cranes, etc.) if disclosed as required in the listing; (c) ensuring their carrier is insured; and (d) completing pickup within the agreed timeframe.
Risk of Loss. Risk of loss or damage transfers to the buyer when the Inventory is physically handed over to the buyer or the buyer's carrier at the seller's location.
7. Delivery Confirmation and Fund Release
Buyer Confirmation. Upon receipt of Inventory, buyers must confirm delivery through the Platform within 5 business days. Confirming delivery triggers the fund release process to the seller. Buyers should not confirm delivery if the Inventory materially differs from the listing description.
Dispute Window. If the buyer does not confirm delivery within 5 business days, and no dispute has been opened, AssetShift may initiate the fund release process at its discretion.
Condition Discrepancy. If Inventory received materially differs from the listing description, buyers should: (a) document the discrepancy with photographs; (b) do NOT confirm delivery; (c) open a dispute through the Platform within 48 hours of receipt. Confirming delivery after observing a material discrepancy weakens the buyer's claim.
8. Disputes and Refunds
Dispute Process. Buyers who have not confirmed delivery and believe the Inventory materially differs from the listing must open a dispute through the Platform's dispute system within 5 business days of receipt. Disputes must include photographic evidence and a written description of the discrepancy.
Grounds. Legitimate dispute grounds include: Inventory materially different from description; significant undisclosed defects or damage; missing items from the described lot; and failure to deliver after payment. Change of mind, market price changes, or minor cosmetic differences within the described condition category are not grounds.
Resolution. AssetShift reviews disputes and may issue partial or full refunds at its discretion. AssetShift's decisions are final within the Platform. AssetShift is not a party to the underlying transaction and does not guarantee specific outcomes.
No Chargebacks. Buyers agree not to initiate credit card chargebacks without first using AssetShift's dispute process. Initiating a chargeback without first opening a Platform dispute is a material breach of this Agreement and may result in account termination and pursuit of any funds returned.

9. Buyer Conduct
Buyers agree to: communicate professionally and respectfully with sellers; make offers only when genuinely intending to purchase; complete payment promptly after offer acceptance; collect or arrange pickup of Inventory within agreed timelines; and comply with all applicable Platform rules and these Terms.
Buyers must not: use the Platform to identify sellers for off-platform solicitation; repeatedly submit offers without intent to purchase; use the dispute system fraudulently; or attempt to manipulate the Platform's AI systems.
10. Tax Obligations
Buyers are solely responsible for determining and remitting any applicable taxes (including HST/GST, PST, duties, import taxes, or tariffs) on their purchases. AssetShift does not collect, remit, or advise on taxes. Buyers purchasing across provincial or international borders should consult a tax professional regarding their specific obligations.
11. Governing Law
This Buyer Agreement is governed by the laws of the Province of Ontario and applicable laws of Canada. Disputes are subject to the Terms of Service governing law and jurisdiction provisions.
12. Indemnification
Buyers agree to indemnify, defend, and hold harmless AssetShift and its directors, officers, and employees from claims, losses, damages, liabilities, and costs including reasonable legal fees arising from the buyer's breach of this Agreement, misrepresentation, fraudulent dispute or chargeback activity, or violation of applicable law.
